The Hessian Service (the "Service") is provided by Hessian Inc. ("Hessian", "we", "us"), a Delaware corporation at 251 Little Falls Drive, Wilmington, DE 19808. We provide forward deployed engineering services and an AI agent orchestration platform on which those services are delivered. Access is currently invite-only, and we may decline to register or continue serving any prospective or existing customer in our sole discretion.
You must register an account to use the Service. Keep your account information accurate and your credentials confidential. You are responsible for everything that happens under your account, including the acts and omissions of your users. We may suspend or terminate your account if we believe it has been misused or compromised, or if information you provided is inaccurate.
We grant you a non-exclusive, non-transferable, non-sublicensable license to access and use the Service in line with our documentation and these Terms. You shall not:
We may add, modify, suspend, or discontinue features at any time. We may offer features on a beta, preview, alpha, or other pre-release basis; those features are provided AS IS, without warranty, support, or service level commitment.
You retain all rights in the data, content, and materials you submit to the Service ("Customer Data"). You grant us a worldwide, royalty-free license to host, store, transmit, process, and display Customer Data to provide and improve the Service, prevent or address security or technical issues, and generate anonymized or aggregated insights (which we may use for any lawful purpose). You represent and warrant that you have all rights and consents required to provide Customer Data to us and that it does not infringe the rights of any third party or violate applicable law.
To the extent Customer Data contains personal data, you are the controller and we are the processor; our processing is governed by our Data Processing Addendum, which is incorporated into these Terms. Our processing of personal data as a controller (e.g. for account administration and business-contact marketing to your representatives) is described in our Privacy Policy.
You are responsible for maintaining your own backups of Customer Data. We are not liable for loss, alteration, or deletion of Customer Data, except where caused by our gross negligence or willful misconduct.
The Service uses AI to generate, transform, or process outputs ("AI Output"). AI Output may be incomplete, inaccurate, biased, outdated, fabricated, or otherwise unsuitable for your purposes. You are solely responsible for reviewing, verifying, and approving any AI Output before relying on, using, distributing, or acting on it, and for applying appropriate human oversight — particularly where it could affect individuals or legal, financial, medical, employment, safety, or other consequential matters. We make no warranty about AI Output and are not responsible for any decisions or consequences arising from it. You shall ensure your use of AI Output complies with applicable laws.
We own all intellectual property rights in the Service. All rights not expressly granted are reserved. If you give us feedback or suggestions about the Service, we may use them without restriction or compensation to you.
Where you have agreed to pay for the Service, fees are payable in advance for each billing period (unless otherwise stated in the applicable plan), are exclusive of taxes, and are non-refundable. We may suspend the Service if payment is overdue. We may change pricing on at least 30 days' notice; if you don't accept the change, you may terminate the Agreement before it takes effect.
We will use commercially reasonable efforts to make the Service available and to provide support, but we make no specific availability, performance, or response-time commitment. The Service depends on third-party services (including cloud and AI providers); we are not responsible for any disruption caused by them.
We may identify you as a customer and use your name and logo for marketing purposes. You may opt out at any time by emailing legal@hessian.sh.
Each party shall treat the other's non-public information as confidential, use it only to perform the Agreement, and protect it with reasonable care. This does not apply to information that is or becomes publicly available, was already lawfully known, was independently developed, or is required to be disclosed by law (with reasonable prior notice where legally permitted).
You may stop using the Service at any time. If you subscribed via our website, you may cancel through your account settings (effective at the end of the current billing period). We may terminate or suspend the Agreement at any time on notice, including for security, compliance, or business reasons, and we may decline to renew. Either party may terminate immediately for material uncured breach or insolvency.
On termination, you have 90 days to export your Customer Data using the Service's standard mechanisms; after that, we may delete it. Any provisions that by their nature should survive termination do so, including accrued payment obligations and the provisions on intellectual property, confidentiality, AI Output, disclaimers, limitation of liability, indemnification, and governing law.
The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data. Nothing excludes liability that cannot lawfully be excluded (such as for fraud, gross negligence or willful misconduct, or death or personal injury caused by negligence). Subject to that, each party's total aggregate liability under the Agreement is capped at (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) where no fees have been paid, US$100.
You shall indemnify and hold us harmless from any third-party claims, losses, damages, and reasonable attorneys' fees arising from your use of the Service in breach of the Agreement or from your Customer Data, except to the extent caused by our gross negligence or willful misconduct.
We may update these Terms from time to time. The current version is always at https://hessian.sh/legal. We will use reasonable efforts to notify you of material changes by email or in-Service. Your continued use of the Service after the change takes effect constitutes acceptance.
These Terms (together with the Privacy Policy, the Data Processing Addendum, and any applicable service plan) are the entire agreement between you and us regarding the Service and supersede any prior agreements. They are solely for the benefit of you and us.
You may not assign your rights or obligations without our prior written consent, except to a non-competitor successor in a merger, acquisition, or sale of substantially all your assets. We may assign freely.
Neither party is liable for delays or failures (other than payment obligations) caused by events beyond its reasonable control. No failure or delay in exercising a right is a waiver. If any provision is held invalid, the rest remain in effect.
Notices to us: legal@hessian.sh. We may give you notice by email or in-Service.
The Agreement is governed by Delaware law, and disputes are subject to the exclusive jurisdiction of the state and federal courts of Delaware — except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
